This repository and the software, documentation, source code, build files, container definitions, scripts, configuration examples, media, and other materials contained in it (collectively, the “Software”) are proprietary. The Software is not open source, free software, public domain software, or licensed under an open source license.
No rights are granted unless and until the Licensor has received the applicable license fee or waived the fee in writing, and has issued written confirmation of the license, a paid invoice, or another written order form referencing this license.
“Licensor” means Matthew Lopez or any legal entity later designated in writing as the owner or authorized licensor of the Software.
“Licensee” means the company or other legal entity that has paid the applicable license fee, or has received a written fee waiver from Licensor, and has received written confirmation of a license from Licensor.
“Authorized Organization” means Licensee and any majority-owned affiliate that is expressly identified in the applicable order form, invoice, or written license confirmation.
“Authorized Users” means employees, officers, contractors, consultants, and service providers of the Authorized Organization who need access to the Software for the Authorized Organization's internal business purposes, who are bound by confidentiality obligations at least as protective as this license, and who access the Software solely to support the Authorized Organization's Internal Business Use and not for the benefit of themselves or any other person or organization.
“Internal Business Use” means use of the Software for the Authorized Organization's own internal operations, workflows, administration, AI platform management, knowledge workflows, chat workflows, agent workflows, and related business processes. Internal Business Use does not include offering the Software, a modified version of the Software, or substantially similar hosted functionality to third parties as a product, platform, managed service, SaaS offering, consulting deliverable, or commercial service.
“Fork” means a private copy of the Software repository, including a private GitHub fork or another private source-code repository controlled by the Authorized Organization.
“Modifications” means changes, adaptations, extensions, integrations, configurations, derivative works, Docker images, deployment manifests, and other works created by or for Licensee that are based on or incorporate the Software.
The standard license fee is USD $5,000 for one Authorized Organization unless a different fee or scope is stated in a signed order form or written license confirmation.
Nonprofit status does not automatically entitle any organization to a free or discounted license. Licensor may charge a nonprofit organization the standard license fee or any other fee agreed in writing. Licensor also reserves the right, in Licensor's sole discretion, to waive all or part of the license fee and provide the Software at no charge when the end user is a nonprofit organization. Any no-cost nonprofit license must be confirmed in writing by Licensor and remains subject to this license unless the written confirmation states different terms.
Licensor also reserves the right, in Licensor's sole discretion, to waive all or part of the license fee and provide the Software at no charge to any company or other organization for which Licensor serves as a board member, director, officer, C-suite or C-level executive, or similar leadership member. Any no-cost leadership-affiliated license must be confirmed in writing by Licensor and remains subject to this license unless the written confirmation states different terms. Receiving a no-cost leadership-affiliated license does not grant any right to sell, resell, license, sublicense, rent, lease, lend, distribute, publish, transfer, or otherwise make available the Software, Modifications, or any further-modified version except with Licensor's separate prior written approval under Section 5.2.
After Licensor receives the full license fee, or confirms a written fee waiver, the license granted in Section 3 is perpetual for the lifetime of the Software as used by the Authorized Organization, subject to termination only for material breach under Section 16. There are no recurring license fees for the rights granted in Section 3 unless the parties separately agree in writing.
The license fee does not include taxes, payment processing fees, professional services, hosting, deployment support, support retainers, maintenance, upgrades, third-party API usage, AI model usage, token costs, cloud infrastructure, data storage, security reviews, compliance audits, or other third-party costs.
Subject to payment or a written fee waiver, and continued compliance with this license, Licensor grants Licensee a non-exclusive, worldwide, non-transferable, non-sublicensable, perpetual source-code license to:
Licensee may customize the Software for the Authorized Organization's needs, including branding, interface changes, workflow changes, integrations, deployment configuration, security configuration, and business-specific extensions, so long as all use remains within the scope of this license.
Licensee may create and maintain private Forks only after the license fee has been paid or waived in writing and the license has been confirmed in writing.
Licensee must keep all Forks, source-code repositories, deployment artifacts containing source code, and Modifications private and access-controlled. Licensee may not publish the Software or Modifications to a public repository, public package registry, public container registry, public model/tool registry, or other public distribution channel.
Licensee must limit access to Forks, source-code repositories, and deployment artifacts containing source code to Authorized Users, and must not grant source-code access to any other person or entity.
Licensee is responsible for ensuring that Authorized Users, contractors, and service providers with access to the Software comply with this license.
Licensee may not, and may not permit any third party to:
Any approval under Section 5.2 must be express and in writing. Licensor may condition approval on additional license fees, royalties, revenue sharing, profit participation, reporting obligations, audit rights, or other commercial terms required by Licensor. No approval is implied from discussions, delay, course of dealing, repository access, support, acceptance of payment, or any other conduct unless the written approval specifically authorizes the relevant third-party sale, distribution, transfer, publication, sublicense, or other availability.
Approval for Licensee to provide the Software or Modifications to a specific third party does not grant that third party, or any later recipient, any right to sell, resell, license, sublicense, rent, lease, lend, distribute, publish, transfer, or otherwise make available the Software, Modifications, or any further-modified version to any other person or entity. Each downstream sale, distribution, transfer, sublicense, publication, or other third-party availability requires Licensor's separate prior written approval, which Licensor may condition on additional commercial terms, including profit participation.
Any use, deployment, copying, or access of the Software before the applicable license fee has been paid or waived and confirmed in writing, and any sale, resale, sublicensing, distribution, publication, or other making available of the Software or Modifications without Licensor's prior written approval, obligates the responsible party to pay Licensor, at a minimum, the applicable license fee for each Authorized Organization that used the Software, and to disgorge any revenue or profit derived from the unauthorized activity. These amounts are in addition to, and do not limit, any other remedy available to Licensor, including injunctive relief and termination.
Licensor retains all right, title, and interest in and to the Software, including all intellectual property rights not expressly granted in this license.
Licensee owns its independently created Modifications, configurations, customer-specific data, prompts, workflows, documents, branding assets, deployment settings, and business content, subject to Licensor's ownership of the underlying Software and any Licensor materials incorporated in those Modifications.
Licensee has no obligation to contribute Modifications back to Licensor. If Licensee voluntarily provides feedback, ideas, bug reports, patches, or other suggestions to Licensor, Licensee grants Licensor a perpetual, worldwide, irrevocable, royalty-free license to use those submissions without restriction or payment, unless the parties agree otherwise in writing.
The Software, non-public documentation, private repository access, source code, security architecture, deployment details, and related Licensor materials are Licensor's confidential information.
Licensee must protect Licensor's confidential information using at least reasonable care and may disclose it only to Authorized Users who need access for Internal Business Use and who are bound by confidentiality obligations.
The confidentiality obligations do not apply to information that Licensee can show was publicly available without breach of this license, already known without confidentiality obligations, independently developed without use of the Software, or lawfully received from a third party without confidentiality obligations.
The Software may include, depend on, call, or be designed to work with third-party open source packages, commercial services, AI model providers, APIs, Docker images, databases, infrastructure services, libraries, fonts, icons, and other third-party materials.
Those third-party components are licensed under their own terms, not this license. Licensee is responsible for reviewing and complying with all applicable third-party terms, usage limits, data-processing terms, security terms, API terms, model-provider terms, and open source license obligations.
This license does not grant rights to any third-party software, API, model, service, trademark, credential, secret, dataset, or content.
Licensee is solely responsible for operating, securing, configuring, monitoring, backing up, updating, and maintaining its deployments, Forks, Modifications, infrastructure, credentials, API keys, user data, customer data, logs, databases, and third-party integrations.
Licensee is responsible for all AI model usage, token usage, provider fees, cloud costs, storage costs, network costs, employee access, compliance obligations, privacy obligations, security obligations, and incident response arising from Licensee's use of the Software or Modifications.
Licensor does not receive any rights to Licensee's customer data, user data, confidential business data, prompts, documents, knowledge-base content, or deployment data merely because Licensee uses the Software.
This license does not include support, maintenance, training, hosted services, implementation services, professional services, security reviews, compliance reviews, updates, upgrades, roadmap commitments, bug fixes, feature delivery, or deployment assistance.
Any support, maintenance, implementation work, custom development, hosted service, update access, or professional service must be agreed to separately in writing.
Licensor may continue to develop, license, sell, modify, rename, discontinue, or commercialize the Software, related products, and competing or similar features without restriction.
THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, SECURITY, AVAILABILITY, PERFORMANCE, ERROR-FREE OPERATION, AND UNINTERRUPTED OPERATION.
LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL MEET LICENSEE'S REQUIREMENTS, COMPLY WITH ANY PARTICULAR LAW OR INDUSTRY STANDARD, OPERATE WITHOUT ERRORS, PREVENT SECURITY INCIDENTS, REDUCE COSTS, REDUCE TOKEN USAGE, OR BE SUITABLE FOR ANY PARTICULAR PRODUCTION, REGULATED, LEGAL, HEALTHCARE, FINANCIAL, GOVERNMENT, OR ENTERPRISE USE CASE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, ENHANCED, OR PUNITIVE DAMAGES; LOST PROFITS; LOST REVENUE; LOST BUSINESS; LOST DATA; BUSINESS INTERRUPTION; SECURITY INCIDENTS; THIRD-PARTY CLAIMS; MODEL OUTPUTS; AI PROVIDER FAILURES; CLOUD OR HOSTING FAILURES; OR COSTS OF SUBSTITUTE GOODS OR SERVICES, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS LICENSE, THE SOFTWARE, OR LICENSEE'S USE OF THE SOFTWARE WILL NOT EXCEED THE AMOUNT ACTUALLY PAID BY LICENSEE TO LICENSOR FOR THE LICENSE GIVING RISE TO THE CLAIM.
Licensee will defend, indemnify, and hold harmless Licensor, and Licensor's affiliates, officers, and agents, from and against any third-party claim, and any resulting damages, liabilities, settlements, and reasonable costs and expenses, including reasonable attorneys' fees, arising out of or relating to (a) Licensee's use, deployment, operation, modification, or distribution of the Software or Modifications; (b) Licensee's data, content, prompts, or configurations; (c) Licensee's violation of applicable law, including export-control, sanctions, privacy, and data-protection law; or (d) Licensee's breach of this license.
This obligation does not apply to a claim to the extent it arises from the unmodified Software, as provided by Licensor, infringing a third party's intellectual property rights. Licensor will promptly notify Licensee of any claim for which it seeks indemnification, and Licensee will control the defense and settlement of the claim, except that no settlement that imposes any obligation, payment, or admission on Licensor may be made without Licensor's prior written consent.
Upon Licensor's written request, no more than once every twelve (12) months, Licensee will certify to Licensor in writing that its use of the Software complies with this license, including the general scope of its deployment and the identity of the Authorized Organization and any authorized affiliates.
If Licensor reasonably suspects a material violation of this license, Licensor may, on reasonable prior written notice and during normal business hours, audit the records and systems reasonably necessary to verify Licensee's compliance, in a manner that minimizes disruption to Licensee's business and protects Licensee's confidential information. If an audit reveals unauthorized use, deployment, or distribution, Licensee will promptly remedy the violation, bear the reasonable cost of the audit, and pay any license fees that would have applied to the unauthorized use, without limiting Licensor's other remedies.
Licensee acknowledges that any breach of Section 4, Section 5, or Section 7 would cause Licensor irreparable harm for which monetary damages would be an inadequate remedy. Accordingly, Licensor is entitled to seek injunctive and other equitable relief to prevent or stop any such breach, without the need to post a bond or to prove actual damages, in addition to any other remedy available at law or in equity.
In any action or proceeding to enforce or interpret this license, the prevailing party is entitled to recover its reasonable attorneys' fees and costs, in addition to any other relief awarded.
This license will automatically terminate if Licensee materially breaches this license and fails to cure the breach within thirty (30) days after receiving written notice from Licensor. Breaches involving unauthorized public distribution, sublicensing, resale, source-code publication, confidentiality violations, or non-payment are material breaches.
Notwithstanding the cure period above, Licensor may terminate this license immediately upon written notice, with no cure period, for any breach involving the unauthorized sale, resale, sublicensing, distribution, publication, or other public release of the Software, Modifications, or source code, or any breach of Section 7 (Confidentiality), because such breaches cause irreparable harm that a later cure cannot repair.
Upon termination, Licensee must stop using the Software and must delete or destroy all copies of the Software and Modifications that incorporate the Software, except that Licensee may retain a single inactive archival copy solely as required by law or bona fide internal record-retention policies, which copy must not be used, deployed, executed, or accessed for any operational purpose.
Sections 5 through 15, 18, and 19 survive termination, along with any payment obligations that accrued before termination.
Licensee may not assign or transfer this license without Licensor's prior written consent, except to a successor in connection with a merger, reorganization, or sale of substantially all of Licensee's assets, provided that the successor assumes all obligations under this license in writing and the Software remains used only by the Authorized Organization or approved successor.
If an assignment or transfer otherwise permitted above, including a change of control, merger, or sale of substantially all assets, would result in the Software being used by an organization materially larger in scope than the original Authorized Organization, for example materially more Authorized Users or affiliates than were identified in the original order form, that assignment or transfer requires Licensor's prior written consent, which Licensor may condition on payment of an updated license fee reflecting the expanded scope.
Licensor may assign this license to an affiliate, successor, acquirer, or legal entity that owns or manages the Software.
This license is governed by the laws stated in the applicable order form, invoice, or written license confirmation. If no governing law is stated there, this license is governed by the laws of the State of Colorado, United States, without regard to conflict-of-laws rules.
If there is a conflict between this license and a signed order form or written license confirmation, the signed order form or written license confirmation controls only for the conflicting term and only for the Licensee identified in that document.
If any provision of this license is unenforceable, the remaining provisions remain in effect.
All rights not expressly granted in this license are reserved by Licensor. No rights are granted by implication, waiver, estoppel, course of dealing, or course of performance.
